Terms of Service

The terms governing your use of the FAB Doctor website and platform.

1. Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you and FAB Doctor ("Company", "we", "us" or "our") and govern your access to and use of the website https://fabdoc.in (the "Website") and the FAB Doctor clinic-management platform (the "Service"). By accessing the Website or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you are entering into these Terms on behalf of a clinic, organisation or other entity, you represent that you have the authority to bind that entity, and "you" refers to that entity.

2. Definitions

  • "Customer" or "Clinic" means the healthcare provider or organisation that subscribes to the Service.
  • "Authorised User" means an individual (such as a practitioner, administrator or staff member) permitted by the Customer to access the Service.
  • "Customer Data" means all data, including patient and clinical data, submitted to or generated within the Service by or on behalf of the Customer.
  • "Subscription" means the plan selected by the Customer that determines the features, limits and fees applicable to its use of the Service.

3. Eligibility

The Service is intended for use by licensed healthcare professionals and their authorised representatives and staff. By using the Service, you represent and warrant that you are legally competent to enter into these Terms, that the information you provide is accurate and truthful, and that you will use the Service in compliance with all laws and professional standards applicable to your practice.

4. The Service

The Service provides cloud-based tools for clinic management, which may include patient records, appointment scheduling, clinical charting, treatment planning, prescriptions, invoicing and billing, consent management, patient communications and reporting. The features available to you depend on your Subscription. We may add, modify, improve or discontinue features from time to time. We will use reasonable efforts to notify you of material changes that adversely affect core functionality.

5. Accounts and Security

  • You must register for an account to use the Service and provide accurate, current and complete information.
  • You are responsible for safeguarding login credentials and for all activity that occurs under your accounts.
  • You are responsible for configuring access controls and roles appropriately and for enabling multi-factor authentication where available.
  • You must promptly notify us of any unauthorised access or suspected security breach.

6. Subscriptions, Fees and Billing

  • Access to the Service requires a valid, paid Subscription, except during any free trial period we may offer.
  • Subscription fees are charged in advance for the applicable billing cycle (monthly or annual) and, unless cancelled, renew automatically for successive cycles at the then-current rates.
  • All fees are exclusive of applicable taxes, including Goods and Services Tax (GST), which will be charged in addition where applicable.
  • Except as expressly stated or required by law, fees are non-refundable, and there are no refunds or credits for partial periods, unused features or downgrades.
  • We may revise our fees on prospective renewal, with prior notice. Continued use after a fee change takes effect constitutes acceptance of the revised fees.
  • We may suspend access for overdue payments after reasonable notice.

7. Acceptable Use

You agree that you will not, and will not permit any Authorised User to:

  • use the Service for any unlawful, fraudulent or harmful purpose, or in violation of any medical, professional or regulatory standard;
  • upload unlawful content or content you are not authorised to process;
  • attempt to gain unauthorised access to the Service or its underlying systems, or interfere with or disrupt its integrity or performance;
  • reverse-engineer, decompile, copy or create derivative works of the Service, except to the extent permitted by law;
  • resell, sublicense or make the Service available to third parties other than Authorised Users; or
  • use the Service to send unsolicited communications in breach of applicable law.

8. Customer Data and Ownership

As between you and us, you retain all rights in and ownership of your Customer Data. You are the data controller (data fiduciary) for patient and clinical data, and you are responsible for the accuracy and lawfulness of that data and for obtaining all necessary patient consents and notices. You grant us a limited, non-exclusive licence to host, process and transmit Customer Data solely to provide, maintain, secure and support the Service, and as further described in our Privacy Policy. You are responsible for maintaining your own copies of important records; we recommend exporting data periodically.

9. Patient Communications

The Service may facilitate messages to patients (such as reminders and confirmations) through SMS, in-app notifications or other channels. You are solely responsible for the content of such communications, for ensuring you have a lawful basis and any required consent to send them, and for compliance with applicable communication and data-protection laws. We transmit such communications on your instruction and do not monitor their content.

10. Intellectual Property

The Service, including its software, design, user interface, text, graphics, logos and the FAB Doctor brand, is owned by the Company or its licensors and is protected by intellectual-property laws. Subject to these Terms and your Subscription, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal clinical and business operations during the subscription term. No other rights are granted.

11. Third-Party Services

The Service relies on third-party providers for hosting, storage, messaging, notifications and payments. Your use of the Service may also be subject to those providers' terms. We are not responsible for third-party services that we do not control, and their availability may affect the Service.

12. Professional and Medical Disclaimer

FAB Doctor is a practice-management and record-keeping tool. It does not provide medical, dental, diagnostic, legal or professional advice, and it is not a substitute for the professional judgement of a qualified practitioner. All clinical, diagnostic and treatment decisions remain the sole responsibility of the treating practitioner. You are responsible for verifying the accuracy of records, prescriptions, calculations and any clinical information before relying on them. We are not responsible for any decision made, or action taken, in reliance on the Service.

13. Warranties and Disclaimers

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not warrant that the Service will meet all of your requirements or that it will be free from defects, interruptions or security incidents.

14. Limitation of Liability

To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, or for any loss of profits, revenue, data, goodwill or business, arising out of or relating to the Service. Our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the total Subscription fees paid by you to us during the twelve (12) months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

15. Indemnification

You agree to indemnify, defend and hold harmless the Company, its directors, officers, employees and agents from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or relating to: (a) your Customer Data; (b) your use of the Service; (c) your breach of these Terms or applicable law; or (d) your violation of any rights of a patient or third party.

16. Term, Suspension and Termination

  • These Terms remain in effect for as long as you use the Service.
  • You may cancel your Subscription at any time; cancellation takes effect at the end of the current billing cycle, and fees already paid are non-refundable.
  • We may suspend or terminate access for breach of these Terms, non-payment, or suspected unlawful or abusive use, with notice where reasonably practicable.
  • Following termination, we will make Customer Data available for export for a limited period (ordinarily up to 30 days), after which it may be deleted or anonymised in accordance with our Privacy Policy, unless longer retention is required by law.

17. Changes to the Service and Terms

We may update these Terms from time to time. Material changes will be notified through the Website or by email, and the "Last updated" date above will be revised. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

18. Force Majeure

We will not be liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, failures of telecommunications or internet providers, power outages, governmental action, or failures of third-party service providers.

19. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Subject to applicable law, the courts at Goa, India shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Service.

20. General

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision will not constitute a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition or sale of assets. These Terms, together with our Privacy Policy and any applicable order or subscription agreement, constitute the entire agreement between you and us regarding the Service.
